Insiders shall be obliged to comply with the confidentiality requirements in respect of insider information till the moment of official disclosure of insider information by ww5.
Insiders SHALL NOT BE ENTITLED TO:
- disclose the insider information that is known (has become known) to them;
- use insider information for the purposes not related either to their professional activities in ww5 and (or) for the purposes not provided for by the terms and conditions of civil or labor contracts / agreements concluded with ww5;
- use insider information in their personal interests or in other persons’ interests;
- use insider information for performance of operations with ww5’s financial instruments;
- sell insider information or make it available to any other persons for the purposes of performance by them of operations with financial instruments of ww5, or - equally - provide to such persons any recommendations for performance of the said operations, based on ww5’s insider information.
It shall be forbidden to perform actions related to market manipulation under Federal Law of 27.07.2010 No. 224-FZ On Counteracting Unlawful Use of Insider Information and Market Manipulation and on Amendments to Certain Legislative Acts of the Russian Federation.
deliberate actions that have been defined by the legislation of the Russian Federation on countering unlawful use of insider information and market manipulation or by the regulations of the Bank of Russia, as the result of which price, demand, supply or volume of trading in financial instruments, foreign currency and (or) goods have deviated from the level or were maintained on the level significantly different from the level that would have formed without such actions [Federal Law of 27.07.2010 No. 224-FZ].
Any use of insider information of ww5 effected in breach of the aforementioned terms, including use of ww5’s insider information in the personal interests of persons having such insider information, and in the interests of other persons (apart from ww5) shall entail liability for unlawful use of insider information and market manipulation.
